Item 8.01  Other Events.
 
On June 5, 2009, American Apparel, Inc. issued a press release announcing postponement of its annual meeting of stockholders, originally scheduled for June 17, 2009, in order to allow for the completion of its previously disclosed evaluation of the classification of its revolving credit facility as a long-term debt, and certain related balance sheet and cash flow presentation matters.  American Apparel will announce a new date for its annual meeting of stockholders at a later date.  The press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
