Item 8.01 Other Events.
On January 18, 2006, Ryan Beck & Co., Inc., exercised its option to purchase an additional 300,000 shares of the Registrant’s common stock to cover over-allotments. The option was granted under the Underwriting Agreement dated January 10, 2006 by and between the Registrant and Ryan Beck & Co., Inc., a copy of which was filed with the Commission on January 13, 2006.
The Registrant’s press release announcing the underwriter’s purchase of an additional 300,000 shares of common stock is attached as exhibit 99.
