    (b)     On January 28, 2009, Michele M. Cloutier resigned as Brand President — Chico’s of the Company, effective immediately. Ms. Cloutier’s resignation was not the result of any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
               In connection with Ms. Cloutier’s resignation, Ms. Cloutier will be entitled to receive severance compensation and other benefits as set forth in the Company’s Executive Severance Plan, as amended, and unused vacation benefits.
