Item 1.01. Entry into a Material Definitive Agreement.
     On July 21, 2008, Chico’s FAS, Inc. (the “Company”) entered into indemnification agreements with John J. Mahoney and David F. Dyer, each of whom currently serves as a director of the Company. Each indemnification agreement, which mirrors the indemnification agreements in place for each of the Company’s other directors, provides, among other things, that the Company will indemnify the applicable director against all costs, losses, damages and expenses which may be incurred or suffered by the director that are related to acts, omissions, events or occurrences that arise from or are related to the fact that the director is or was a director, stockholder or otherwise serving in another capacity at the Company’s request, subject to certain specified exceptions. The foregoing description of the form of indemnification agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the forms of the indemnification agreements which are attached as Exhibits hereto and which are incorporated by reference herein.
