On June 20, 2005, TIMCO Aviation Services, Inc (the “Company) issued a press release (the “Press Release”) reporting its intent to commence a rights offering and to effect a reverse stock split of its issued and outstanding common stock. A copy of the press release announcing this information is attached to this report as Exhibit 99.1
