ITEM 8.01 OTHER EVENTS

     On February 27, 2006, Terra Industries Inc. (“Terra”) announced that it is in the process of restarting its ammonia production plants in Billingham, Teesside, UK and Yazoo City, Mississippi. Terra expects to resume ammonia production at these plants on March 1, 2006. A copy of the press release is filed herewith as Exhibit 99.1.
