Item 2.02      Results of Operations and Financial Condition.

On May 18, 2009, Integrated Electrical Services, Inc. (the “Company”) issued a press release announcing its results of operations for the fiscal 2009 second quarter, a copy of which is furnished with this report as Exhibit 99.1 and is incorporated herein by reference. On May 18, 2009, the Company conducted an earnings conference call and webcast discussing the results of operations for the fiscal 2009 second quarter which had an accompanying slide presentation. The slide presentation is furnished with this report as Exhibit 99.2 and is incorporated herein by reference.
