Use of proceeds:
  The Issuer estimates that the net proceeds from the issuance and sale of the debentures, after deducting the underwriting discount and expenses relating to the offering, will be approximately $292,850,000. The Issuer plans to use these proceeds for general corporate purposes, including specifically, the further development of its business.

 


 

     
Commissions and discounts:
  The underwriters have advised the Issuer that they propose to initially offer the debentures at a price of 100% of the principal amount of the debentures, plus accrued interest from the settlement date of the debentures, if any, and to dealers at that price less a concession not in excess of 1.35% of the principal amount of the debentures, plus accrued interest from the settlement date, if any. After the initial public offering, the public offering price, concession and discount may be changed.
