Item 1.01. Entry Into a Material Definitive Agreement.
On September 25, 2009, Michael Baker Corporation (the “Company”) and four of its subsidiaries (each a “Borrower” and collectively, the “Borrowers”) entered into a Second Amendment (the “Second Amendment”) to its First Amended and Restated Loan Agreement, dated as of September 17, 2004, as amended by the First Amendment to the First Amended and Restated Loan Agreement dated as of September 1, 2007 (the “First Amended and Restated Loan Agreement”), with Citizens Bank of Pennsylvania, administrative agent for the banks, PNC Bank, National Association and Fifth Third Bank.
The purpose of the Second Amendment was primarily to permit the Company to divest its energy services business.
