Item 8.01.                                Other Events.

On February 5, 2009, New Century Equity Holdings Corp., a Delaware corporation (the “Company”), issued a press release announcing that its proposed acquisition of Wilhelmina International Ltd. and its affiliated companies (including Wilhelmina Models, Wilhelmina Miami, Wilhelmina Film & TV and Wilhelmina Artist Management), along with certain other related proposals, were approved by the Company’s stockholders at the Company’s 2008 Annual Meeting of Stockholders held on February 5, 2009.  A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
