Explanation of Responses:
(1) Includes 18,741 shares held by Delmonte Investments LLC, of which the reporting person is a member.
(2) The options vest as to 7,295 shares on each of 10/1/01, 4/1/02, 10/1/02 and 4/1/03.
(3) The options vested as to 250,000 shares on 5/22/00 and vest as to the remaining 750,000 shares in 36 equal
monthly installments beginning on 6/22/00.
(4) The number of derivative securities beneficially owned by the reporting person at the end of the month was
adjusted to correct an arithmetic error in previous Form 4 filings.
(5) Includes options to purchase 40,689 shares held in an irrevocable trust for the benefit of the reporting person's
minor children. The reporting person disclaims beneficial ownership of all such shares, and this report shall not
be deemed and admission that the reporting person is the beneficial owner of such shares for purposes of Section 16
or for any other purpose. Also includes options to purchase 33,997 shares held by 1011 Partners LLC, of which the
reporting person and his wife are the sole members.
