Item 4.01 Change in Registrant’s Independent Registered Public Accounting Firm

As previously reported in a Form 8-K filed on November 16, 2005, Siegfried & Schieffer, LLC resigned as the independent registered public accounting firm for the Campbell Soup Company Savings Plus Plan for Salaried Employees and the Campbell Soup Company Savings Plus Plan for Hourly-Paid Employees (collectively, the “Savings Plans”). On March 2, 2006, the Administrative Committee of the Savings Plans engaged Parente Randolph, LLC to audit the Savings Plans’ financial statements as of and for the year ended December 31, 2005.
