ITEM 12. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On April 13, 2004, GSI Lumonics Inc. (the "Company") issued a press release
announcing preliminary financial information for the fiscal quarter ended April
2, 2004. A copy of the press release is attached as Exhibit 99.1 to this Current
Report on Form 8-K and incorporated herein by reference.
