Item 1.01    Entry into a Material Definitive Agreement.

On July 6, 2015, Ramco-Gershenson Properties Trust (the “Registrant”), issued a press release announcing the entry into agreements on June 29, 2015 to acquire its partner's ownership interests in seven shopping centers totaling $185.9 million, including the assumption of its partner's pro rata share of debt of $48.1 million. The $48.1 million in debt has interest rates ranging from 2.9% to 5.8% and is due at various maturity dates from January 2017 through January 2023.

The transactions have been approved by the Registrant's Board of Directors and are expected to close in the third quarter of 2015.
