Item 2.02.  Results of Operations and Financial Condition

The Corning Incorporated press release dated April 5, 2013 regarding its election to change its method of accounting for actuarial gains and losses for its defined benefit pension plans to a preferable method as permitted under generally accepted accounting principles in the United States (“GAAP”) is attached hereto as Exhibit 99.  The new accounting method, adopted in the first quarter of 2013, will be applied retrospectively to the Company’s financial results for all prior periods.
