Introductory Note
This report amends and restates the current report on Form 8-K of Akamai Technologies, Inc. (the “Company”) filed with the Securities and Exchange Commission on February 12, 2014 (the “Original Filing”). The Original Filing failed to include the referenced Exhibit 99.1.





Item 8.01. Other Events.

On February 12, 2014, Akamai Technologies, Inc. issued a press release announcing that it intends to offer, subject to market and other conditions, $500 million of Convertible Senior Notes due 2019 in a private offering to qualified institutional buyers. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
