Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On November 20, 2018, Bridgeline Digital, Inc. (the “Company”) received an initial notification letter from the Nasdaq Listings Qualification Department (“NASDAQ”) indicating that the bid price of the Company’s common stock for the last thirty (30) consecutive business days had closed below the minimum $1.00 per share required for continued listing under NASDAQ Listing Rule 5550(a)(2). This notification letter has no effect on the listing of the Company’s common stock at this time. The Company’s common stock will continue to trade on The NASDAQ Capital Market under the symbol BLIN.

 

NASDAQ further notified the Company that, in accordance with Nasdaq Marketplace Rule 5810(c)(3)(A), the Company will be provided 180 calendar days, or until May 20, 2019, to regain compliance by achieving a closing bid price of the Company’s securities of at least $1.00 per share for a minimum of 10 consecutive business days at any time during 180 calendar day period.

 

If the Company does not regain compliance by May 20, 2019, NASDAQ will provide written notice to the Company that the Company’s securities are subject to delisting. Further, in the event the Company does not regain compliance by May 20, 2019, the Company may be eligible for an additional 180 calendar day grace period if it meets the initial listing standards, with the exception of bid price, for The NASDAQ Capital Market.

 

The Company intends to actively monitor the closing bid price for its securities through May 20, 2019, and during this period, will weigh all available options to resolve the deficiency and regain compliance with Nasdaq Marketplace Rule 5550(a)(2).
