Item 2.06    Material Impairments.
 
On August 19, 2010, Dynegy Inc. (“Dynegy”) filed a Current Report on Form 8-K (the “8-K”) which described its previously announced merger agreement (the “Merger Agreement”) with an affiliate of Blackstone Capital Partners V L.P. (“BCP”).  In the 8-K, the Company described the Purchase and Sale Agreement between an affiliate of BCP and NRG Energy, Inc. (“NRG”), dated as of August 13, 2010, as relating to five of Dynegy's facilities whereas the actual number of facilities involved is four (Dynegy’s South Bay facility was erroneously included in the list of facilities).  The facilities involved in the transaction between the affiliate of BCP and NRG include, and are limited to, Dynegy’s Casco Bay, Moss Landing, Morro Bay and Oakland facilities.  The cash consideration of approximately $1.36 billion, which was reported in the 8-K, remains the same.
