Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On October 27, 2008, the Board of Directors of American Apparel, Inc., approved the First Amendment to the 2007 Performance Equity Plan (the “Plan”) to require shareholder approval for the repricing or replacement of any stock option granted under the Plan and for the substitution of any other type of award for previously granted awards that have less favorable terms.  In addition, the Plan was amended to remove the ability of the Company to repurchase previously granted stock options.  This summary is qualified in its entirety by the amendment to the Plan, which is attached hereto as Exhibit 10.1, and is incorporated herein by reference.
