Item 1.01  Entry into a Material Definitive Agreement.
 
On June 5, 2008, American Apparel (USA), LLC, a subsidiary of American Apparel, Inc. (the “Company”), and certain other subsidiaries of the Company entered into a Waiver to Credit Agreement (the “Credit Agreement Waiver”) with LaSalle Business Credit, LLC, LaSalle Bank National Association, Wells Fargo Retail Finance, LLC and the lenders party to the Credit Agreement, dated as of July 2, 2007 (the “Credit Agreement”).
 
The Credit Agreement Waiver extends until June 20, 2008, the deadline set forth in the waiver that the Company received under the Credit Agreement in May 2008 for the parties to enter into an amendment to the Credit Agreement and related documents.
 
The foregoing description is qualified in its entirety by reference to the Credit Agreement Waiver which is filed as Exhibit 10.1 hereto and incorporated herein by this reference.
