Item 2.02 Results of Operations and Financial Condition.
On March 16, 2007, Neose Technologies, Inc. (the "Company") announced financial results for the fourth quarter and year ended December 31, 2006, and provided financial guidance for 2007. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
Item 2.05 Costs Associated with Exit or Disposal Activities.
The Company announced on March 16, 2007, that it was reducing the size of its workforce by approximately 40% over the next few months.
On March 15, 2007, the Board of Directors authorized management, in its discretion, to implement the workforce reduction. Management decided on March 16, 2007 to implement the workforce reduction.
The Company estimates that it will incur cash restructuring costs of approximately $1 million in connection with the workforce reduction, most of which will be reflected in its operating results during the first half of 2007.
