Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 7, 2017, Charles J. Pitman notified the board of directors (the “Board”) of Apache Corporation (the “Company”) that he intends to retire effective December 31, 2017, five months before he is ineligible to stand for re-election at the May 2018 Annual Meeting of Stockholders as a result of the Company’s mandatory director retirement age of 75. Mr. Pitman is a member of the Corporate Governance and Nominating Committee of the Board and the Management Development and Compensation Committee of the Board. Also, he served as the lead director of the Board from February 2013 until May 2015 and as Chairman of the Corporate Governance and Nominating Committee of the Board from February 2003 until May 2014. Mr. Pitman stated that he does not have any disagreement with the Company or its management on any matter relating to the Company’s operations, policies, or practices. Mr. Pitman has served on the Board since 2000.
