Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 22, Neogen Corporation (the “Registrant”) announced the resignation of Richard E. Calk, Jr. as the President and Chief Operating Officer of the Registrant, effective this date. Calk had been employed by Neogen in that role since December 2014. His duties have been assumed by John Adent, who will now serve as president and chief executive officer.

A copy of the press release issued by the Registrant to announce the above is attached to this Current Report as Exhibit 99.1. This press release is being furnished to, as opposed to filed with, the Securities and Exchange Commission.
