This Schedule 14A filing consists of a letter that VCA Inc. (the Company) sent to its vendors on January 9, 2017 in connection with the proposed acquisition of the Company by MMI Holdings, Inc., a subsidiary of Mars, Incorporated.

Today we announced that VCA has reached an agreement to be acquired by Mars, Incorporated, one of the worlds leading pet care, confectionery and consumer goods companies. When this transaction is completed in the third quarter of 2017, VCA will be a separate and distinct business unit within one of the worlds premier family-owned companies.
