On May 11, 2016, The Valspar Corporation (“Valspar”) and The Sherwin-Williams Company (“Sherwin-Williams”) issued a press release announcing each company’s receipt, as expected, of a second request from the United States Federal Trade Commission pursuant to the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with Sherwin-Williams’ pending acquisition of Valspar. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated by reference herein.
