On April 4, 2016, Newell Rubbermaid Inc. (Newell Rubbermaid) issued a press release announcing the preliminary results of the exchange offers (the Exchange Offers) pursuant to which it is offering to issue its new senior notes (the New Newell Rubbermaid Notes) in exchange for any and all (to the extent held by eligible holders) of the 300 million aggregate principal amount of the outstanding 3 3/4% Senior Notes due October 1, 2021 issued by Jarden Corporation (Jarden) and of the $300 million aggregate principal amount of the outstanding 5% Senior Notes due November 15, 2023 issued by Jarden in a private offering exempt from, or not subject to, registration under the Securities Act of 1933, as amended (the Securities Act), and concurrent consent solicitations from the eligible holders of the Jarden notes to amend the related indentures. In accordance with Rule 135c under the Securities Act, a copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
