(d) Northern Trust Corporation (the “Corporation”) hereby amends its Form 8-K filed on July 22, 2015 to report that the Board of Directors (the “Board”) of the Corporation appointed Thomas E. Richards to the Business Risk and Compensation and Benefits Committees of the Board on October 20, 2015. As of July 22, 2015, the Board had not yet determined the committees to which Mr. Richards would be appointed.
