(d) Northern Trust Corporation (the “Corporation”) hereby amends its Form 8-K filed on March 9, 2015 to report that the Board of Directors (the “Board”) of the Corporation appointed Donald Thompson to the Audit and Business Risk Committees of the Board on April 21, 2015. As of March 9, 2015, the Board had not yet determined the committees to which Mr. Thompson would be appointed.
