ITEM 7.01 REGULATION FD DISCLOSURE.
On November 12, 2014, Mercer International Inc. (the Company) announced that it intends to offer for sale an aggregate of $650 million principal amount of senior notes (the Notes). The net proceeds of this proposed issuance, together with cash on hand and borrowings under the Companys revolving credit facilities, will be used to refinance the Companys currently outstanding 9.500% Senior Notes due 2017 and two loan facilities related to its Stendal mill.
In connection with the offering of the Notes, the Company disclosed certain information to potential investors about its proposed 75 million revolving credit facility related to its Stendal operations. This information is attached as Exhibit 99.1 and incorporated herein by reference.
The Notes will be offered and sold to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the Securities Act), and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act.
Pursuant to Regulation FD, the Company is furnishing the foregoing information under Item 7.01 of this Current Report on Form 8-K. This information, most of which has not previously been reported, is being furnished in Exhibit 99.1 to comply with Regulation FD. Such information shall not be deemed to be filed for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the Exchange Act), or otherwise subject to the liabilities of that section, and shall not be deemed to be incorporated by reference into any of the Companys filings under the Securities Act or the Exchange Act, whether made before or after the date hereof and regardless of any general incorporation language in such filings, except to the extent expressly set forth by specific reference in such a filing.

On November 12, 2014, the Company issued a press release announcing the proposed issuance of the Notes. A copy of this press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
