On January 18, 2012, the board of directors (the Board) of Pacific Biosciences of California, Inc. (the Company) appointed Marshall Mohr as a Class II director to serve on the Board effective immediately. Mr. Mohr was also appointed to serve on the Audit Committee of the Board.
Mr. Mohr, 56, has been Senior Vice President and Chief Financial Officer of Intuitive Surgical, Inc., a provider of surgical robotics, since March 2006. From 2003 to 2006, prior to joining Intuitive Surgical, Mr. Mohr served as Vice President and Chief Financial Officer of Adaptec, Inc. Before 2003, Mr. Mohr was an audit partner with PricewaterhouseCoopers LLP where he was most recently the managing partner of the firms West Region Technology Industry Group and led its Silicon Valley accounting and audit advisory practice. Since 2005, Mr. Mohr has been a member of the Board of Directors and Chairman of the Audit Committee of Plantronics, Inc., a provider of lightweight communications headsets and telephone headset systems, and also served as a member of the Board of Directors and Chairman of the Audit Committee of Atheros Communications, Inc., a developer of semiconductor system solutions for wireless communications products, from November 2003 to May 2011 when Atheros was sold to Qualcomm, Inc. Mr. Mohr holds a Bachelor of Business Administration in Accounting and Finance from Western Michigan University.
As previously disclosed in the Companys proxy statement for the 2011 Annual Meeting of Stockholders, as a non-employee director, Mr. Mohr will receive an annual retainer of $35,000, as well as an additional annual retainer of $10,000 for his service on the Audit Committee. Pursuant to the Companys outside director equity compensation policy, Mr. Mohr was automatically granted a stock option to purchase 25,000 shares of the Companys common stock on the date of his appointment to the Board.
