Item 2.02. Results of Operations and Financial Condition.

On May 6, 2011, LaBranche & Co Inc., a Delaware corporation (the “Company”), issued a press release announcing its results for the first quarter of 2011. A copy of this press release is furnished herewith as Exhibit 99.1. The earnings release furnished as Exhibit 99.1 contains a correction to the table in the “Regulation G Requirement: Reconciliation of Non-GAAP Financial Measures” that was issued in the Company’s earnings release on May 6, 2011. The “Diluted Per Share” row under 2011 in the table was corrected in both columns to ($0.06) from ($0.14).

The information in this Current Report, including the news release attached hereto, is being furnished pursuant to Item 2.02 of Form 8-K and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 or otherwise subject to liabilities of that Section.
