Item 1.01. Entry into a Material Definitive Agreement.

 

At the Company’s Annual Meeting of Shareholders held May 10, 2005, the shareholders approved the adoption of the Company’s CEO Annual Incentive Award Plan. The descriptions of the Plan and of the 2005 CEO annual incentive award under the Plan, which are contained under the caption “Proposal No. 2. – CEO Annual Incentive Award Plan” in the Company’s definitive Proxy Statement dated March 29, 2005, are incorporated herein by reference.
