This Schedule 14A relates to the proposed merger of an affiliate of Melita International Inc. (“Melita”) with and into the Registrant (the “Proposed Transaction”), whereby the Registrant would become a wholly-owned subsidiary of Melita, and is being filed pursuant to Rule 14a-12 of the Securities Exchange Act of 1934, as amended, in order to file the document attached as an exhibit to this Schedule 14A with the U.S. Securities and Exchange Commission (the “SEC”).
