Item 8.01.    Other Events
 
On February 11, 2011, KLA-Tencor Corporation (the "Company") issued a press release announcing that the Company's Board of Directors has declared a cash dividend of $0.25 per share on the Company's Common Stock. Such dividend shall be payable on March 1, 2011 to the Company's stockholders of record as of the close of business on February 22, 2011.

The Company further announced in the press release that its Board of Directors has authorized the repurchase of an additional 10 million shares of the Company's outstanding Common Stock. This 10 million share repurchase authorization is in addition to previous authorizations.

A copy of the press release is attached hereto as Exhibit 99.1.
