EXPLANATORY NOTE
 
This Amendment No. 1 (“Amendment No. 1”) amends the Annual Report on Form 10-K of Micromet, Inc. (the “Company”) for the fiscal year ended December 31, 2009, originally filed with the Securities and Exchange Commission (the “SEC”) on March 5, 2010 (the “Annual Report”). The Company is filing this Amendment No. 1 solely to update Exhibits 10.33, 10.34, 10.37 and 10.38 to the Annual Report (each, an “Exhibit”). The Company sought confidential treatment for portions of each Exhibit and, following correspondence with the SEC, has restored certain portions of each Exhibit that were previously redacted.
 
Additionally, the Company is re-filing a corrected table under the caption “Equity Compensation Plan Information” included in Part III, Item 12 of the Annual Report, to correct the table that was included in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on April 30, 2010 (the “Proxy Statement”) and incorporated by reference into the Annual Report.
 
Except for the foregoing, this Amendment No. 1 does not amend the Annual Report in any way and does not modify or update any disclosures contained in the Annual Report, which continues to speak as of the original date of the Annual Report. Accordingly, this Amendment No. 1 should be read in conjunction with the Annual Report and the Company’s other filings made with the SEC subsequent to the Annual Report.
 
In accordance with Rule 12b-15 under the Securities Exchange Act of 1934, as amended, this Amendment No. 1 includes updated certifications from the Registrant’s Chief Executive Officer and Chief Financial Officer.
