Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On March 5, 2008, the Board of Directors of NexCen Brands, Inc. (the “Company”) approved amendments to the Company’s Bylaws, effective immediately, to (i) correct internal cross-references and other minor clean up items, (ii) reflect the Company’s name change to “NexCen Brands, Inc.” and (iii) include procedures to explicitly authorize the issuance and transfer of uncertificated shares of the Company’s common stock.

The Company’s Amended and Restated Bylaws are filed as Exhibit 3.1 to this Current Report on Form 8-K and are incorporated herein by reference.
