Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. 
 
Effective as of January 18, 2008, Yan Liu resigned as a director of MyStarU.com, Inc. (the “Company”). Ms. Liu’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
 
Effective as of January 18, 2008, the Company’s Board of Directors appointed Yulong Zhu to replace Ms. Liu as a director of the Company. Mr. Zhu has also been a member of the board of directors of Subaye.com, Inc., a majority-owned subsidiary of the Company, from July 2007 to present. From June 2006 to June 2007, Mr. Zhu was the assistant to the CEO of Subaye.com, Inc. Before June 2006, Mr. Zhu was the assistant to the Chief Information Officer of the Company. Mr. Zhu is a graduate of the College of Economics and Management of South China Agricultural University.
