(e)   On July 12, 2007, the stockholders of Arbios Systems, Inc. (the “Company”) approved an amendment to the Arbios 2005 Stock Incentive Plan (the “Plan”), that increased the number of shares of common stock reserved for issuance under the Plan from 3,000,000 shares to 4,000,000 shares.

The foregoing description of the amendment to the Plan is qualified in its entirety by reference to the full text of the amended Plan, which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
