This Amendment No. 1 (this "Amendment") amends, as set forth below, the statement on Schedule 13D, dated June 3, 2014 and filed with the SEC on June 4, 2014 (the "Original Schedule 13D"), for Bank of America Corporation and Banc of America Preferred Funding Corporation ("BAPFC") (collectively, the "Reporting Persons") with respect to the variable rate munifund term preferred shares ("VMTP Shares") of Nuveen New York Dividend Advantage Municipal Fund (the "Issuer"). This Amendment is being filed as a result of Nuveen New York Dividend Advantage Municipal Fund 2 ("NXK") being reorganized into the Issuer (the "Reorganization") and the corresponding exchange of the Reporting Person's 380 variable rate munifund term preferred shares of NXK for an equal number of VMTP Shares of the Issuer.

Item 3 of the Original Schedule 13D is hereby amended by adding the following paragraph at the end thereof:

"In connection with the Reorganization completed on June 8, 2015, the variable rate munifund term preferred shares of NXK were exchanged for an equal number of VMTP Shares of the Issuer."
