At the 2015 annual meeting of stockholders (the Annual Meeting) of Theravance, Inc. (the Company) held on April 24, 2015, the following proposals were submitted to the stockholders of the Company:

Of the 116,677,469 shares of the Companys common stock entitled to vote at the Annual Meeting, 110,517,355 shares, or approximately 94.72%, were represented at the meeting in person or by proxy, constituting a quorum.
