Item 8.01. Other Events
On April 4, 2013, Provident New York Bancorp (Provident) and Sterling Bancorp (Sterling) issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of April 3, 2013, providing for the merger of Sterling and Provident. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. In addition, on April 4, 2013, Provident and Sterling intend to provide supplemental information regarding the proposed transaction in connection with presentations to analysts and investors. The slides that will be made available in connection with the presentations are attached hereto as Exhibit 99.2 and are incorporated herein by reference.
