On March 5, 2013, the Board of Directors and shareholders of First Data Holdings Inc. (“Holdings”), the parent corporation of First Data Corporation, approved an amendment to the 2007 Stock Incentive Plan for Key Employees of First Data Corporation and its Affiliates (the “Plan”) to increase the number of shares of common stock of Holdings available under the Plan by 60 million shares.  A copy of the Plan, as so amended, is attached as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
