On July 2, 2012, a former employee of Ambow Education Holding Ltd. (the “Company”) made allegations of financial impropriety and wrongful conduct in connection with the Company’s acquisition of a training school in 2008. On July 3, 2012, the Audit Committee of the Board of Directors of the Company determined that it would conduct an internal investigation to thoroughly review these allegations.  This investigation is being conducted with the assistance of independent outside counsel.  The Company will refrain from commenting further on this matter until the independent investigation is concluded.
