ITEM 2.02      On January 16, 2008, Red Robin Gourmet Burgers, Inc. issued a press release reporting preliminary unaudited revenues for the twelve and fifty-two weeks ended December 30, 2007 and increased its earnings guidance for the full year 2007.  A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
