Item 1.01 Entry into a Material Definitive Agreement
Effective on October 25, 2007, Neenah Paper, Inc. (the Company) entered into the Fifth Amendment (the Fifth Amendment) to its Credit Agreement dated as of November 30, 2004 (as previously amended, the Credit Agreement), by and among the Company, certain of its subsidiaries as co-borrowers or guarantors, the Lenders party thereto and JPMorgan Chase Bank, N.A., as agent for the Lenders. The Fifth Amendment increases the Companys secured revolving line of credit from $180,000,000 to $210,000,000.
The Companys ability to borrow under the Credit Agreement, as amended, is the lesser of (a) the total line commitment ($210,000,000), (b) the Companys borrowing base (as determined in accordance with the Credit Agreement, as amended), and (c) the applicable cap on the amount of senior credit facilities under the Indenture. The Companys borrowing base will support availability under the line of $210,000,000.00 (excluding amounts currently outstanding).
The Credit Agreement, as amended, contains events of default customary for financings of this type, including failure to pay principal or interest, materially false representations or warranties, failure to observe covenants and other terms of the revolving credit facility, cross-defaults to other indebtedness, bankruptcy, insolvency, various ERISA violations, the incurrence of material judgments and changes in control.
