Item 2.02               Results of Operations and Financial Condition.

On August 6, 2007, Ebix, Inc. (the “Company”) issued a press release announcing its results of operations for its most recent fiscal quarter ended June 30, 2007.  A copy of the related press release is being filed as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference in its entirety.
