ITEM 1.01                           ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On November 9, 2006, we entered into a Memorandum of Understanding with General Dynamics Land Systems, Inc. whereby we agreed to negotiate a subcontract agreement for structure fabrication of two hundred variants of the Cougar vehicle.

The foregoing description of the terms and conditions of the Memorandum of Understanding is qualified in its entirety by, and made subject to, the more complete information set forth in the Memorandum of Understanding filed as exhibit 10.1 to this Form 8-K.
