On May 1, 2007, Boston Scientific Corporation (the “Company”) announced that Lawrence C. Best, its principal financial officer, intends to retire from the Company, effective July 6, 2007.

OTHER EVENTS.
 
On May 1, 2007, the Company issued a press release announcing that Sam R. Leno will join the Company on June 5, 2007 as Chief Financial Officer and Executive Vice President of Finance and Information Systems.  The press release is attached hereto as Exhibit 99.1.
