Item 8.01 Other Events
OGE Energy Corp. (the Company) is the parent company of Oklahoma Gas and Electric Company (OG&E), a regulated electric utility with approximately 744,000 customers in Oklahoma and western Arkansas, and Enogex Inc. and its subsidiaries (Enogex), a natural gas pipeline business with principal operations in Oklahoma.
On December 22, 2005, the Company issued a press release announcing that OG&E has entered into a non-binding letter of intent to purchase a 120-megawatt wind farm planned for construction in northwestern Oklahoma. Invenergy Wind LLC would develop the new wind power-generation facility to be owned and operated by OG&E. The wind farm, north of Woodward in Harper County, is expected to cost about $180 million plus the cost of transmission interconnection facilities. Once a definitive agreement is reached, it would be subject to various conditions, including approval by the boards of directors of both companies and the Oklahoma Corporation Commission. If all conditions are met, the new wind farm could be constructed and producing power by December 31, 2006. For further information, see the press release attached as Exhibit 99.01.

OG&E signs letter of intent to build new wind farm
Wind power would grow from 50 megawatts to 170 by December 2006
OKLAHOMA CITY -- OG&E Electric Services announced today that it has entered into a non-binding letter of intent to purchase a 120-megawatt wind farm planned for construction in northwestern Oklahoma.
Invenergy Wind LLC would develop the new wind power-generation facility to be owned and operated by OG&E. The wind farm, north of Woodward in Harper County, is expected to cost about $180 million plus the cost of transmission interconnection facilities.
Once a definitive agreement is reached, it would be subject to various conditions, including approval by the boards of directors of both companies and the Oklahoma Corporation Commission. If all conditions are met, the new wind farm could be constructed and producing power by Dec. 31, 2006.
We are pleased to announce our plan for a major expansion of renewable wind energy in Oklahoma, said Steven E. Moore, chairman, president and CEO of OGE Energy Corp. (NYSE: OGE), parent company of OG&E. We made a careful first step into wind power with our 2003 agreement to purchase 50 megawatts of wind power and now, were proposing a significant next step that would more than triple our wind power capacity. Clearly, were excited about the prospects for wind power in Oklahoma.
