HCA Announces Proposed Public Offering of Senior Notes

HCA Healthcare, Inc. (NYSE: HCA) today announced that its wholly owned subsidiary, HCA Inc., proposes to offer $2.0 billion aggregate principal amount of senior notes, subject to market and other considerations. Actual terms of the notes, including interest rate and principal amount, will depend on market conditions at the time of pricing. HCA Inc. intends to use the net proceeds of this offering for the redemption of all $1,500,000,000 outstanding aggregate principal amount of HCA Inc.’s 3.75% Senior Secured Notes due 2019 and the payment of related premiums, and for general corporate purposes, which may include acquisitions.

Goldman Sachs & Co. LLC, Barclays, BofA Merrill Lynch, Citigroup, Deutsche Bank Securities, J.P. Morgan, Morgan Stanley, RBC Capital Markets, SMBC Nikko, SunTrust Robinson Humphrey, UBS Investment Bank and Wells Fargo Securities are acting as the joint book-running managers for the offering.

The offering of the notes is being made pursuant to an effective shelf registration statement filed with the Securities and Exchange Commission.
